Banco Espírito Santo, S.A. (BES) is a diversified global financial services firm whose businesses provide a broad range of financial services both domestically and abroad.
Banco Espírito Santo do Oriente, S.A. (BES Oriente), headquartered in Macao, is a financial institution that started operations in 1996. It provides loans and carries out other banking-related activities. BES has a 99.75% interest in this institution.
Banco Espírito Santo de Angola, SARL (BESA), headquartered in Angola, is a financial institution established in 2001. BES Angola provides a global service to individual and corporate clients, supported by a network of 28 branches and 2 corporate centers. BES has a 75.94% interest in this institution.
Espírito Santo Bank, S.A. (ES Bank), with registered office in Miami, set up in 1963, was incorporated into BES Group in 2000. BES is its majority shareholder with 98.45% interest. ES Bank business focuses on private banking, with particular emphasis on Latin American customers (Brazil and Venezuela).
BEST - Banco Electrónico de Serviço Total, S.A., headquartered in Portugal is an online based bank specialized in asset management. It was established on June 26, 2001, as a result of a partnership between Banco Espírito Santo and Portugal Telecom (PT). BEST share capital is 75% held by BES Group and the remaining 25% by Saxo Bank.
Banco Espírito Santo dos Açores, S.A. (BAC), is a commercial bank established on July 1, 2002. It is the outcome of an integration of BES business units in the Azores and Caixa Económica da Misericórdia de Ponta Delgada. Besides BES, that holds 57.53%, the remaining shareholders are Caixa Económica da Misericórdia and Bensaúde Participações SGPS, S.A.. Currently, it operates through a network of 14 branches located in the Azores.
Banque Espírito Santo et de la Vénétie, S.A. (BES VÉNÉTIE) headquartered in Paris, was established in 1927. Its main activity is the conduct of all business associated with commercial banking, both locally and internationally, with French medium-sized companies, as well as financial consulting services in acquisitions involving Portuguese companies and private Portuguese customers. Besides BES that holds 42.69% of the company's share capital, the remaining shareholders are ESFG and Cardine Group.
BES Cape Verde (BESCV), is a universal bank incorporated under Cape Verdean law, providing a universal service for companies and individuals. BES Cabo Verde has branches on the islands of Santiago and Sal. BES holds 99.99% of the capital.
Aman Bank for Commerce and Investment is a commercial bank founded under Lybian law in 2003, headquartered in Tripoli. The bank provides a universal banking service to companies and individuals and is the market leader in the area of electronic payments (cards, ATM’s and POS’) and one of the main banks in the area of international transactions (Trade Finance, payments, remittances from emigrants…). The bank has a network of 23 traditional branches, complemented by 10 mobile branches. In 2010 BES acquired 40% of its share capital and management control. Moza Banco is a commercial bank founded under Mozambican law in 2007, operating since June 2008 and with its head office in Maputo. The bank provides a universal banking service to companies and individuals. Its ambitious expansion plan will take it from its current 3 branches to 30 branches by the end of 2013. BES acquired 25.1% of its share capital in 2011 through its subsidiary company BES África, and is represented in its executive management.
Banco Espírito Santo de Investimento, S.A. (BESI), with registered office in Lisbon, was created on April 1, 1993 through the conversion to banking status of Espírito Santo Sociedade de Investimentos, S.A.. It operates mainly as an investment bank and is fully owned by BES.
BES Investimento (Brasil) headquartered in Brazil, is an investment bank that operates in Latin America, acquired by BES Group in 2000. BES Investimento (Brazil) share capital is 80% held by BES, through BES Investimento, and the remaining 20% by Banco Bradesco.
ES Capital (ESCAPITAL) is a venture capital company, established in 1998 and acquired by BES in 1996. BES Investimento holds 100%.
ES Tech Ventures is a venture capital company, 100% held by BES.
Locarent - Companhia Portuguesa de Aluguer de Viaturas, S.A. headquartered in Lisbon, was incorporated as a limited liability company in 1991 with the objective of undertaking car renting operations. In December, 2003 BES acquired a shareholding of 45% in the company, being from then on consolidated under the equity method. BES holds 50% of the company's share capital.
ESAF - Espírito Santo Activos Financeiros, SGPS, S.A. (ESAF SGPS) was established at the end of 1992. It is the holding company of BES Group asset management companies, real estate investment management, and pension fund management, as well as financial advisors, private wealth management and fund distribution companies. In addition to the Bank, whose holding is 85% (from which 15% through BES Investment), the shareholders are Crédit Agricole (10%) and Companhia de Seguros Tranquilidade Vida, S.A. (5%).
ESAF - Espírito Santo Activos Financeiros, S.A. was established in 2000, resulting from the asset management business restructuring in Spain. BES has a 85% interest in ESAF .
A BESAF - (Brazil) is an asset management firm 82,5% held by BES through BESI.
A BESAACTIF - (Angola), created in 2008, is a joint venture of ESAF and BES Angola, and the first fund management to operate in Angola.
BES-Vida, Companhia de Seguros, S.A. (BES-Vida) provides life insurance and capitalization products, and is the third largest firm in the Life Insurance sector in Portugal, where BES has a 50% stake and Credit Agricole has 50%.
BES Companhia de Seguros, S.A. (BES-Seguros) began operations in 1996, with the purpose of providing property insurance to BES Group customers. Credit Agricole has a 50% stake, BES has a 25% stake and Companhia de Seguros Tranquilidade, S.A. (25%).
Europ Assistance - Companhia Portuguesa de Seguros de Assistência, S.A., was established in 1993 and provides domestic assistance. Its main shareholders are BES (23%), Companhia de Seguros Tranquilidade-Vida (24%) and Europ Assistance Holding (53%).
Espírito Santo Recuperação de Crédito is a credit recovery firm that is 100% owned by BES.
Espírito Santo Informática (ESI), is a holding company whose investments are centralised in companies specialised in the conception, development and marketing of integrated software systems. BES has a 84.90% stake.
Espírito Santo Contact Center, Gestão de Call Centers, S.A. (ES Contact Center) was set up in June 2000. This company dedicates exclusively to manage call centers that support the telephone banking activity of its associates. BES has a 41.67% stake.
ESGEST is a diversified services provider that is 100% held by BES.
BES Finance, Ltd. headquartered in the Cayman Islands, was founded in 1997. In February 1997, the company issued an Offering Circular, announcing that in accordance with the Euro Medium Term Notes Programme, it would issue bonds up to a total amount of euro 10,000 million. As at December 31, 2004, BES Finance had issued Euro 600 million non-voting preference shares, with a face value of Euro 1,000, listed in the Luxembourg Stock Exchange.
